Restructuring Services Group Transaction Manager, Vice President

Team/Role Overview:

To manage post-closure fiduciary matters on A&T transactions reporting to Team Leader Restructuring Services Group.

What you’ll do:

• Manage post-closure fiduciary matters such as amendments, restructures, defaults, and material prejudice matters on A&T transactions through review, negotiation, and execution of relevant documentation in relation to A&T product offerings (e.g. project finance & global loan transactions, structured finance transactions, collateral agent, Eurobonds and EMTN programmes) - working closely with external counsel.
• Ensure monthly invoicing to client.
• Attend weekly fiduciary committee meetings where applicable.
• Ensure accurate and timely set up and ongoing maintenance of transaction files.
• Create documentation file and chase for outstanding documents/agreements.
• Prepare monthly status reports and revenue summary
• Manage post-signing security arrangements for Loan transactions and ongoing administration and liaison with relevant deal counterparts.
• Create, verify, and action diary dates in ATIS for future events derived from relevant documentation.
• Open, verify, manage, and close as appropriate cash and custody accounts on and offshore.
• Arrange and/or attend Noteholder meetings. Collate vote results.
• Check publication requirements within documentation and arrange for such notices to be published in accordance with the Terms and Conditions.
• Produce transaction resume/deal specific checklists where required.
• Act as a focal point for allocated clients.
• Build and develop relationships with clients, lawyers, and financial advisers.
• Contribute to staff development through mentoring.
• Contribute to MCA activities.
• Initiate/ensure correct client billing on an ongoing basis.
• Liaise with Euroclear, Clearstream, DTC and any other relevant clearing systems.

What we’ll need from you:

• Significant corporate trust knowledge required.
• Fiduciary knowledge required.
• Experience in review and negotiation of legal documentation.
• Strong transaction management and negotiation skills.
• Strong inter-personal / communication skills.
• The ability to prioritise.
