The Lead Counsel II is a senior level position responsible for providing legal guidance and thought leadership to the Corporate Banking business.

This role provides legal advice, support and practical transactional guidance to Citi corporate bankers on a wide range of legal issues relating to making and servicing Citi’s syndicated and bilateral loan facilities extended to institutional clients and for other related corporate banking matters.

This role requires a pragmatic, proactive attorney with thorough understanding of the Corporate Banking business, combined with a solid conceptual / practical grounding in the laws and regulations for the geographies in which we operate. The Lead Counsel II provides input into strategic decisions, exercising sound legal judgement to develop proactive, risk-appropriate, and commercially practical business-oriented solutions, and works with other business and legal partners and control functions across Citi in areas such as risk, credit and operations.

In particular, this role will afford the Lead Counsel II with the opportunity to be involved in transactions that are sophisticated, cross-border and multi-currency in nature, and transactions may also be generated elsewhere in the Citi Corporate Banking footprint.

Responsibilities:

  • Provides advanced documentary and policy-based guidance to corporate banking teams and other business partners on loans and related corporate banking matters, including commitment advices, term sheets, credit agreements, lines of credit, guarantees, security agreements, non-disclosure agreements (NDAs), reliance letters, amendments, waivers and similar loan-related documents.
  • Provides primary and direct day-to-day transactional/legal support and advice to assigned industry groups of corporate bankers on matters related to Citi’s products, including review and analysis of proposed and existing loan documentation to determine Citi’s position thereunder.
  • Works independently and as part of an overall Legal team, completing internal documentation checklists, and prioritizing multiple legal reviews in a fast-paced environment, frequently with tight deadlines, while exercising sound legal judgment and devising acceptable solutions and alternatives to achieve shared company and customer goals.
  • Identifies policy and legal risks and opportunities for improvement in, loan documents and related agreements and instruments, identifies potential regulatory, franchise and reputational risk, and works closely with other Legal team members and other business partners in the wider Citi organization, escalating as appropriate.
  • Recognizes inherent levels of complexities in loan and corporate banking transactions and handles complex legal reviews while meeting policy standards and deadlines, escalating as necessary.
  • Appropriately assesses risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citi, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standards.
  • Maintains a general awareness of current legal topics and issues related to loans and products extended to corporate banking customers.

Qualifications:

  • 6-10 years of experience, with 3-5 years of experience as an attorney working with regulated banks or other financial services companies, with a strong transactional and or loans/lending background.
  • Experience with sophisticated, multi-party, cross-border and multi-currency loan transactions governed by the laws of the US and other countries, preferably syndicated, bilateral or club deals or project financing.
  • Commercial awareness of syndicated loan origination practices, market standards and legal documentation used in the banking industry for making of loans and other banking products.
  • Effective communication (written and verbal) and negotiation skills and ability to build and maintain trusted relationships.
  • Excellent interpersonal, organizational and relationship management skills.
  • Proven ability to work independently, anticipate legal issues, think creatively, and devise practical and appropriate solutions that meet business objectives.
  • Proven ability to apply sound judgement while managing assignments in a demanding, fast paced environment.
  • Florida Bar admission in good standing, or ability to qualify for in-house counsel status with the Florida Bar.

Primary Location Full Time Salary Range:

$140,640.00 - $210,960.00
